今週は、増資に伴う資本構成の変更についてです。

商社である当社の事業拡大にともない、増資を検討しています。現在タイ資本51％、日本の資本49％でタイ企業として事業を行っています。増資をすることでタイ企業でなくなるかと思いますが、問題ありませんでしょうか。
Our company (trading company) have a plan to increase capital because of business expanding. Now, we run the business as Thai company with 51% Thai capital and 49% Japanese capital.
Are there any problem in case we will be Foreign Company, not Thai company, to increase capital?

ご記載の通り、増資をするとタイ・日本の資本比率が変わるため、タイ企業ではなく外国企業扱いになります。貴社は商社ですので、BOIや外国事業許可証を有しない場合には、タイ企業である必要があります。
As you mentioned, the capital composition has changed after increment capital, therefore the company become Foreign Company, not Thai company. Your firm should be Thai company unless you don’t have BOI/FBA, since your business is trading company.
増資を行うと、資本構成の変更により、外国企業となります。
そのため、増資ではなく親子ローンでの対応が宜しいかと存じます。
Your firm will be foreign company, if you increase capital and alteration of capital composition.
Then, loan from parent company is better than increase capital.
