今週は増資手順の変更ついてです。

最近増資の際の手続きが変更になったと聞きました。具体的にどのように変更したのでしょうか。
I’ve heard that the process of capital increase changed recently. How does it change specifically?
A.
500万バーツ以上の資本金の企業について、増資の際の手続きが変更になりました。この基準は増資後の資本金額で判断します。
The process for capital increase for the company which capital is over 5 million altered. This capital amount criteria is judged by the capital which after increment.
これまでは株主総会の開催、商務省への申請、資本金の払い込み、という手順でした。
今回の変更により、株主総会の開催、資本金の払い込み、商務省への申請という手順に変更となっています。商務省への申請の際には、資本金払い込み時の着金証明書を添付する必要があります。
Until now, the process is hold shareholder’s meeting, apply to DBD, and transfer capital. After alteration, the process is hold shareholder’s meeting, transfer capital, and apply to DBD. When the company apply to DBD, they need to attach credit advice of capital transfer.
本規定は2015年4月から適用されております。
2015年1月から、会社設立時に500万バーツ以上の資本金の企業は、資本金払込後15日以内に商務省に報告が義務付けられています。
本規定も同様に、資本金の払い込みが適切にされているかを確認するための改定であると考えられます。
This regulation enforced Apr/2015.
By the way, the company which capital is over 5 million at setting up company has to report to DBD within 15 days after capital transfer since jan/2015.
Both of them are the alteration to make sure if the company properly transfer capital.
