マレーシアでは、特段取締役の任期というのが具体的には決められていません。基本的には、会社法で定められているローテンション制度を取っているため、それに合わせて任期が決まってまいります。そして、この場合、二つのケースに分かれます。
In Malaysia, the Corporate Act does not decide specific term of Director. Basically, the Act decide the rotation of Director. So, you have two choices to appoint the Director.
- 設立初年度の取締役について
1. About the Director in first annual share holder meeting.
ここでは、一旦全員が退任という形でやめなければなりません、ですので、一旦株主総会で退任し、同じ議事録で再選任するという流れを取ります。当然、ここで新しく取締役を任命することも可能です。
In first fiscal year, all Directors shall retire in the first shareholders meeting. But, after retirement, you can re-appoint same director in this shareholder meeting. Off course, you can appoint new Director.
- ２回目以降の取締役について
2. About the Director after 2nd annual shareholder meeting.
ローテンションという制度のため、二回目以降は、総取締役数の1/3が退任しなければなりません。やめる順番は、任期が長い順から退任していきます。その後は、同じ株主総会で再選任するという流れを取ります。また、当然、ここで新しく任命することも可能です。
Malaysia has the rotation system. So one-third of all Directors shall retire after 2nd annual shareholder meeting. The longer term of Director shall retire at first. After retire you can choose re-appointing or appointing new Director.
